ARTICLE 2 – SCOPE OF APPLICATION

These General Terms and Conditions of Sale (GTC) apply to all website creation, SEO, LinkedIn management and related digital services provided by the Service Provider to the Client.

These General Terms and Conditions govern all commercial relations between the Service Provider and the Client. They are an integral part of the contract and prevail over any other conditions contained in any other document, unless otherwise expressly agreed in writing.

Subscribing to our services implies the Client's full and unreserved acceptance of these General Terms and Conditions.

ARTICLE 3 – DEFINITIONS

Customer : Natural or legal person subscribing to the Provider's services

Provider : DynamicDigital sp. z oo, providing website creation, SEO, LinkedIn management and related digital services

Services: All services for website creation, SEO referencing, LinkedIn presence management and related digital services

Website: Website created by the Service Provider for the Client

Subscription: 12-month service provision contract

Modules: Specific features that can be integrated into the website, classified into three categories: Essential Modules, Professional Modules and Expansion Modules

Formula: Monthly service package including a defined set of services and modules

Durable support: Any instrument allowing the Client to store information (email, mail, etc.)

ARTICLE 4 – SERVICES OFFERED

4.1 Description of services

The Provider offers the following services organized in monthly packages:

A. Website creation

Four formulas available:

  • ESSENTIAL (€199/month): Ideal solution for your first professional online presence
  • PRO+ (€399/month): Structured and scalable website for established SMEs and agencies
  • PREMIUM (€499/month): High-end, tailor-made website for ambitious businesses
  • EXPANSION (€599/month): Enterprise solution for complex projects and scale-ups

Each formula includes:

  • Number of pages defined according to the formula
  • Custom template or custom design 100%
  • AI-assisted or optimized content
  • GDPR Compliance (Standard or Advanced)
  • Essential, Professional and/or Expansion Modules depending on the formula
  • Multiple languages depending on the formula
  • Domain name
  • Email addresses
  • Dedicated storage space

B. Natural SEO referencing

Four formulas available:

  • ESSENTIAL SEO (€199/month): Solid foundations for natural referencing

4.2 Available modules

Modules are specific functionalities that can be integrated into the website depending on the formula chosen:

Essential Modules (included in all packages):

Professional Modules (included from PRO+):

Integrated Google Reviews, Site Search, FAQ, AI Chat Bot, Before/After Slider, Pop-up, Timeline, Menu, Advanced Blog, Newsletter, Project Gallery, Price List

Expansion Modules (included in EXPANSION package):

E-commerce site, online training, complex reservation

Note: Some modules may require subscriptions to third-party services

4.3 Terms of service

Services are provided as a monthly subscription for a period of 12 months. The details of the services included are specified in the specifications validated by the Client and correspond to the chosen package.

ARTICLE 5 – SUBSCRIPTION TERMS

5.1 Order process

  1. Subscription to a monthly subscription and payment of the first month
  2. Sending of the specifications questionnaire completed by the Client
  3. Validation of the specifications by both parties
  4. Signature of the contract and acceptance of these T&Cs
  5. Start of service

5.2 Acceptance

Acceptance of these T&Cs is evidenced by:

  • Signing the service contract
  • Payment of the first monthly payment
  • Use of the services offered

ARTICLE 6 – PRICES AND PAYMENT TERMS

6.1 Price

Prices are expressed in euros, excluding taxes if an intra-community VAT number is provided, and including all taxes otherwise. They are firm and final for the duration of the 12-month subscription.

  • ESSENTIAL: €199/month
  • PRO+: €399/month
  • PREMIUM: €499/month
  • EXPANSION: €599/month

SEO:

  • ESSENTIAL SEO: €199/month
  • SEO PRO+: €399/month
  • SEO PREMIUM: €499/month
  • SEO EXPANSION: €599/month

LinkedIn:

  • LinkedIn ESSENTIAL: €199/month
  • PRO+ LinkedIn: €399/month
  • LinkedIn PREMIUM: €499/month
  • LinkedIn EXPANSION: €599/month

6.2 Payment terms

Billing: Monthly, due date
Terms and conditions: Bank transfer, direct debit or any other agreed method
Due date : Same day every month (based on the date of first subscription)
Payment deadline: 30 days maximum from the date of issue of the invoice

6.3 Late payment

In the event of late payment of more than 30 days:

  • The website will be automatically deactivated
  • Rights to use LinkedIn visuals may be withdrawn
  • A fixed compensation of €25 for reactivation costs will be due if the site has been deactivated
  • The Provider reserves the right to suspend all services
  • A fixed compensation of €75 for recovery costs will be due after 45 days of non-payment

6.4 Default of payment

In the event of persistent non-payment after formal notice has remained without effect for 8 days, the Service Provider may:

  • Terminate the contract immediately
  • Permanently delete the website
  • Keep data for 30 days before permanent deletion

ARTICLE 7 – DURATION AND RENEWAL

7.1 Initial Term

The contract is concluded for a fixed period of 12 months from the launch of the website or the effective start of the service for SEO and LinkedIn services.

7.2 Change of formula

The Customer may upgrade to a higher subscription plan at any time during the 12 months. In this case:

  • The new rate applies immediately
  • The duration of the commitment starts again for 12 months from the modification
  • No refunds are made for the remaining period of the old subscription

The Client may also add additional services (for example, adding an SEO subscription to an existing Website subscription) at any time.

7.3 End of contract

At the end of 12 months:

For websites:

  • The website and its content become the full and entire property of the Client
  • The Provider transfers all rights and access to the Client
  • The Client becomes responsible for hosting and maintenance
  • The monthly payments are stopped or the Customer subscribes to a maintenance subscription

For SEO and LinkedIn services:

  • Services terminate automatically
  • The Customer can subscribe to a new 12-month subscription
  • The Customer can opt for a different formula without firm commitment (subject to availability)

ARTICLE 8 – OBLIGATIONS OF THE SERVICE PROVIDER

The Service Provider undertakes to:

  • Deliver services in accordance with the validated specifications and the subscribed formula
  • Carry out the work within the agreed timeframe and without defects
  • In the event of defects in the work carried out, correct them free of charge within 14 days of notification
  • Respect the agreed deadlines
  • Ensure site availability (objective 99%)
  • Provide technical support during business hours
  • Respect the confidentiality of the Client's data
  • Perform regular backups
  • Provide the modules and functionalities included in the subscribed formula

ARTICLE 9 – CUSTOMER OBLIGATIONS

The Client undertakes to:

  • Provide all the elements necessary for the performance of the services (texts, images, information, identifiers)
  • Provide all necessary creative elements (logos, graphic charter, photographs, typography, vector elements) unless otherwise stated in the specifications or if included in the subscribed formula
  • Ensure the accuracy and conformity of all materials provided
  • Review and approve all work before publication or printing
  • Assume full responsibility for proofreading and checking all content before approving work for publication
  • Respect payment deadlines
  • Inform the Service Provider of any malfunction
  • Respect intellectual property rights
  • Do not damage the image of the Service Provider
  • Use the services in accordance with their intended purpose
  • Report in writing or by email any complaints regarding the implementation of services within 3 working days from the date of completion of each project

ARTICLE 10 – INTELLECTUAL PROPERTY

10.1 During the term of the contract

  • The Provider retains all rights to the codes, templates and tools developed
  • All preparatory materials and drafts remain the property of the Service Provider
  • The Client owns the rights to the content it provides.
  • Use of the services is granted to the Client as part of the subscription

10.2 At the end of 12 months (for websites)

  • The final works delivered become the property of the Client
  • The Provider transfers the copyright to the completed works to the Client and agrees to the unlimited use of these works by the Client.
  • The Client obtains all administrator access
  • The Provider reserves the right to display the work completed in its portfolio, case studies, marketing materials, social networks, exhibitions, competitions and other promotional channels, unless otherwise agreed in writing.

10.3 For recurring services (SEO and LinkedIn)

  • The content created (SEO articles, LinkedIn publications, visuals) becomes the property of the Client as soon as it is created.
  • The Customer retains all rights to these contents even after the end of the subscription.
  • The strategies, methodologies and tools used by the Service Provider remain its exclusive property.

10.4 Responsibility for content

  • The Provider is not responsible for any content errors, including but not limited to: spelling mistakes, grammar, factual accuracy, or legal compliance of the content provided by the Client.
  • The Client assumes full responsibility for proofreading and verifying all content before approving the work for publication.

ARTICLE 11 – MODIFICATIONS AND ADDITIONAL SERVICES

11.1 Changes to the Project

Any modification to the initial specifications must be the subject of a written amendment, otherwise it will be null and void.

11.2 Additional Services

Additional services requested after signing this agreement will be invoiced separately according to the Service Provider's current rates. This includes, in particular:

  • Additional modules not included in the subscribed package
  • Specific custom features
  • One-shot services (audit, additional training, etc.)

11.3 Delivery of materials

Materials may be delivered by email, messages or by a secure file transfer method agreed upon between the parties.

ARTICLE 12 – COMPLAINTS AND CORRECTIONS

12.1 Time limit for complaints

The Client is required to report in writing or by email any complaints regarding the implementation of the services within 3 working days from the date of completion of each project covered by this agreement.

12.2 Tacit acceptance

In the absence of a complaint within this period, the service is considered to have been accepted by the Customer without reservation.

12.3 Processing of complaints

The Service Provider undertakes to process any justified complaint free of charge within a reasonable period of 14 days maximum.

ARTICLE 13 – PERSONAL DATA AND GDPR

13.1 Data controller

In accordance with the General Data Protection Regulation (GDPR):

  • The Service Provider acts as a subcontractor for the data collected via the Client's services.
  • The Client remains responsible for processing its own customer data.
  • Both parties undertake to comply with the regulations in force

13.2 Rights of individuals

Users have the right to access, rectify, erase, transfer and oppose their personal data, which they can exercise by contacting the Client.

13.3 Security

The Service Provider implements appropriate technical and organizational measures to ensure data security.

ARTICLE 14 – TERMINATION

14.1 Early termination by the Customer

The Client may terminate the contract before the end of the term in the event of:

  • Serious failure by the Service Provider to meet its obligations, continuing after formal notice
  • Failure to comply with agreed deadlines exceeding 30 days

14.2 Termination by the Provider

The Service Provider may terminate the contract in the event of:

  • Persistent non-payment after formal notice
  • Serious failure by the Client to meet its obligations
  • Use of services contrary to laws or public order

14.3 Termination at any time

The parties agree that termination of this agreement may occur at any time during the cooperation. In the event of withdrawal from the agreement by the Provider or the Client, payments already made to the Provider's account are non-refundable.

14.4 Termination in “three clicks”

In accordance with European regulations, the Customer can cancel their subscription electronically via the dedicated interface on our website, easily accessible from their customer area.

ARTICLE 15 – WARRANTIES AND LIABILITY

15.1 Guarantees

The Service Provider guarantees:

  • Compliance of services with the specifications and the subscribed formula
  • Proper operation during the term of the contract
  • Correction of bugs and malfunctions within 14 days
  • The inclusion of modules and functionalities provided in the chosen formula

15.2 Limitation of liability

The Provider's liability is limited to the amount paid by the Client for the current year. The Provider cannot be held liable for indirect damages.

15.3 Force Majeure

Neither the Provider nor the Client may be held liable if the non-performance or delay in the performance of one of their obligations is due to a case of force majeure.

ARTICLE 16 – RIGHT OF WITHDRAWAL

In accordance with Article 38 of the Polish Act of 30 May 2014 on Consumer Rights, the right of withdrawal does not apply to contracts for the provision of services fully performed before the end of the withdrawal period and the performance of which began after the consumer's express prior consent and express waiver of his right of withdrawal.

ARTICLE 18 – APPLICABLE LAW

18.1 Applicable law

These General Terms and Conditions are subject to Polish law for aspects not harmonized by European law, in particular:

  • GDPR for data protection
  • The Digital Services Regulation (DSA)
  • European directives on e-commerce

18.2 Competent jurisdiction

Any dispute arising out of this Agreement shall be resolved by the courts having jurisdiction over the registered office of the parties, at the option of the party bringing the action.

18.3 Language

These T&Cs are written in French. In the event of translation, only the French version is authoritative.

ARTICLE 19 – MISCELLANEOUS PROVISIONS

19.1 Entirety

These General Terms and Conditions constitute the entire agreement between the parties and cancel any prior agreement. The contract has been drawn up in two identical copies, one for each party.

19.2 Modifications

Any modification of these T&Cs will be the subject of an amendment signed by both parties.

19.3 Partial Invalidity

If a clause of these T&Cs is declared null and void, the other clauses will remain fully valid.

19.4 Communication

All communication between the parties must be made in writing (postal or electronic mail with acknowledgment of receipt).
